1. Services
Loan Officer Web Studio provides technology and marketing support services for mortgage professionals, which may include mortgage website setup, website hosting, website maintenance, landing pages, lead capture forms, lead management dashboards, CRM-style workflow tools, appointment scheduling integrations, search engine optimization services, marketing services, AI-assisted content tools, analytics, and reporting.
Loan Officer Web Studio is not a lender, bank, mortgage broker, mortgage servicer, financial advisor, law firm, or provider of legal advice.
2. Customer Responsibilities
Customer is solely responsible for the accuracy, legality, completeness, and compliance of all customer content, business information, licensing information, NMLS information, disclosures, testimonials, claims, advertising copy, and instructions provided to Loan Officer Web Studio.
Customer must obtain all required internal, brokerage, legal, compliance, and regulatory approvals before publishing or using any website, landing page, marketing material, lead form, content, or campaign.
3. Fees and Billing
Customer agrees to pay all applicable setup fees, subscription fees, hosting fees, maintenance fees, marketing fees, additional work fees, late fees, taxes, and collection costs. Pricing may be stated in an order form, proposal, invoice, statement of work, or online checkout.
Current starter package pricing is $1,500 setup and $100 per month for hosting and maintenance, unless a written proposal, order form, invoice, or statement of work states different pricing. Optional marketing services, custom integrations, large redesigns, advanced automations, ongoing copywriting, paid ads, and other additional work may be priced separately.
Unpaid amounts may result in suspension of services, withholding of deliverables, removal of hosting access, late fees, collection activity, and termination.
4. Mortgage Compliance
Loan Officer Web Studio does not verify NMLS compliance, advertising compliance, state licensing compliance, federal mortgage compliance, RESPA compliance, Truth in Lending compliance, Fair Housing compliance, or brokerage-specific rules.
Customer remains solely responsible for NMLS compliance, RESPA compliance, Truth in Lending compliance, Fair Housing compliance, state regulations, advertising regulations, required disclosures, testimonial rules, company policies, privacy requirements, and all other applicable laws.
5. Intellectual Property
Customer retains ownership of customer-provided content, trademarks, logos, headshots, biographical materials, approved testimonials, and business information.
Loan Officer Web Studio retains ownership of its templates, software, platform technology, workflows, code libraries, documentation, processes, non-customer-specific designs, know-how, and pre-existing materials. Unless otherwise stated in a signed agreement, customer receives a limited license to use deliverables while fees are paid and the service remains active.
6. Disclaimers
Services are provided on an "as is" and "as available" basis except as expressly stated in a signed agreement. Loan Officer Web Studio does not guarantee leads, appointments, applications, closed loans, revenue, search rankings, traffic, conversion rates, uptime beyond stated service commitments, regulatory approval, or business results.
Loan Officer Web Studio does not provide legal, financial, mortgage, tax, credit, or compliance advice.
7. Indemnification
Customer will defend, indemnify, and hold harmless Loan Officer Web Studio from claims, damages, liabilities, losses, costs, and expenses arising from customer content, false or misleading statements, regulatory violations, advertising violations, licensing violations, compliance failures, privacy violations, unauthorized use of third-party materials, customer instructions, or customer use of the services.
8. Limitation of Liability
To the maximum extent permitted by law, Loan Officer Web Studio will not be liable for indirect, incidental, consequential, special, exemplary, punitive, lost profit, lost revenue, lost business, lost data, or business interruption damages.
To the maximum extent permitted by law, Loan Officer Web Studio's aggregate liability will not exceed the amounts paid by customer to Loan Officer Web Studio during the three months preceding the event giving rise to the claim, or [LIABILITY_CAP], whichever is greater.
9. Suspension and Termination
Loan Officer Web Studio may suspend or terminate services for non-payment, security risk, unlawful conduct, suspected fraud, violation of these terms, compliance risk, abusive usage, or third-party provider requirements. Upon termination, access to hosting, dashboards, lead forms, and support may end.
Data may be retained or deleted according to the Privacy Policy, applicable law, operational needs, and any signed agreement.
10. Arbitration and Governing Law
These Terms are governed by California law without regard to conflict-of-law principles. Any dispute shall be resolved by mandatory binding arbitration in Orange County, California, except for claims that may be brought in small claims court or claims seeking injunctive relief.
Customer and Loan Officer Web Studio waive the right to a jury trial and agree to bring claims only on an individual basis, not as a class, collective, consolidated, or representative action.
11. Electronic Acceptance
Customer may accept these Terms electronically by checking a box, clicking an acceptance button, signing electronically, paying an invoice referencing these Terms, or using the services.
