1. Definitions

"Agreement" means this Master Service Agreement and any applicable statement of work, order form, policy, exhibit, or incorporated terms. "Customer Content" means content, materials, data, trademarks, logos, images, testimonials, disclosures, and instructions provided by Customer. "Services" means services provided by Loan Officer Web Studio.

2. Services and Statements of Work

Loan Officer Web Studio may provide mortgage website setup, lead management dashboard configuration, hosting, maintenance, marketing, lead capture, CRM-style workflow tools, scheduling integration, SEO, analytics, AI-assisted content tools, and related services as described in one or more statements of work.

3. Customer Obligations

Customer will provide accurate information, timely feedback, required approvals, necessary access, and all legally required disclosures. Customer is responsible for reviewing all deliverables before publication.

4. Fees and Payment

Customer will pay fees described in the applicable statement of work. The current starter platform package is $1,500 setup and $100 per month for hosting, maintenance, lead form support, and basic dashboard support, unless a written proposal, order form, invoice, or statement of work states different pricing. Optional marketing services, custom integrations, large redesigns, advanced automations, ongoing copywriting, paid ads, and approved additional work may be priced separately. Late payments may result in suspension and collection costs.

5. Intellectual Property

Customer owns Customer Content. Loan Officer Web Studio owns its software, templates, platform technology, documentation, processes, know-how, and pre-existing materials. Deliverables may include both Customer Content and Loan Officer Web Studio materials.

6. Confidentiality

Each party may receive non-public business, technical, financial, or customer information. The receiving party will use reasonable care to protect confidential information and use it only to perform under the Agreement.

7. Data Protection

Loan Officer Web Studio will use commercially reasonable safeguards for information processed through the Services. Customer remains responsible for compliance with laws governing Customer Content and borrower or lead information.

8. Warranties and Disclaimers

Each party represents it has authority to enter the Agreement. Except as expressly stated, services are provided "as is" and "as available." Loan Officer Web Studio disclaims implied warranties to the maximum extent permitted by law.

9. Mortgage Compliance

Loan Officer Web Studio does not verify NMLS compliance, advertising compliance, licensing compliance, RESPA compliance, Truth in Lending compliance, Fair Housing compliance, privacy compliance, or brokerage rules. Customer is solely responsible for all mortgage industry compliance.

10. Indemnification

Customer will indemnify Loan Officer Web Studio from claims arising from Customer Content, customer instructions, regulatory violations, advertising violations, licensing violations, false statements, privacy violations, intellectual property infringement, or compliance failures.

11. Limitation of Liability

Neither party will be liable for indirect, consequential, incidental, special, exemplary, punitive, lost profit, lost revenue, lost business, lost data, or business interruption damages. Loan Officer Web Studio's aggregate liability will not exceed amounts paid by Customer during the three months preceding the claim or [LIABILITY_CAP], whichever is greater.

12. Term and Termination

The Agreement begins on acceptance and continues until terminated. Either party may terminate as stated in the applicable statement of work. Loan Officer Web Studio may suspend services for non-payment, security risk, unlawful use, compliance risk, or material breach.

13. Force Majeure

Neither party is liable for delay or failure caused by events beyond reasonable control, including provider outages, internet failures, labor disputes, acts of God, government actions, cyber incidents, or emergencies.

14. Assignment

Customer may not assign the Agreement without written consent. Loan Officer Web Studio may assign the Agreement in connection with a merger, acquisition, reorganization, or sale of assets.

15. Notices

Notices must be sent to the addresses in the applicable order form or account records and may be delivered electronically where permitted.

16. Governing Law and Arbitration

California law governs. Disputes will be resolved by binding arbitration in Orange County, California. The parties waive jury trials and class, collective, consolidated, and representative actions.

17. Electronic Signatures

The Agreement may be accepted electronically. Electronic signatures and records have the same effect as originals.

18. Entire Agreement

The Agreement is the entire agreement between the parties and supersedes prior discussions. Amendments must be in writing or electronically accepted by authorized representatives.
